^{In exchange for good and valuable consideration, the receipt and sufficiency of which I hereby acknowledge as received, I give Irving Oil Limited (the "Company") permission to use and publicize my name, image, likeness, appearance, voice and other personal characteristics and private information (“Materials”) for the purposes outlined herein, in accordance with the following terms and conditions:}

I hereby irrevocably permit, authorize, grant, and license the Company and its affiliates, successors, agents, and assigns, and their respective licensees ("Authorized Persons"), the rights to display, publicly perform, exhibit, transmit, broadcast, reproduce, record, photograph, digitize, modify, alter, edit, adapt, create derivative works, exploit, sell, rent, license, otherwise use, and permit others to use the Materials in perpetuity throughout the world in any medium or format whatsoever and for any purpose, without further consent from or royalty, payment, or other compensation to me.}

I hereby irrevocably transfer, assign, and otherwise convey to the Company my entire right, title, and interest, if any, in and to the Materials and all copyrights and other intellectual property rights in the Materials arising in any jurisdiction throughout the world in perpetuity. I acknowledge and agree that I have no right to review or approve Materials before they are used by the Company, and that the Company has no liability to me for any editing, alteration, or use of the Materials, or the Company's presentation of me. Any credit or other acknowledgment of me shall be determined by the Company in its sole discretion.}

To the fullest extent permitted by applicable law, I hereby irrevocably waive all legal and equitable rights relating to all liabilities, claims, demands, actions, suits, damages, and expenses, now known or hereafter known in any jurisdiction throughout the world (collectively, "Claims") arising directly or indirectly from the Company's or the Authorized Persons' exercise of their rights under this agreement or the production, exhibition, advertising, promotion, or other use of the Materials, and forever release and discharge the Company and the Authorized Persons from liability under such Claims. I understand and agree that this agreement cannot be terminated, rescinded, or modified, in whole or in part.}

^{4. I represent and warrant to the Company that I am at least eighteen years of age, and I have full right, power, and authority to enter into this agreement and grant the rights hereunder. This agreement constitutes my sole and entire agreement with the Company regarding the subject matter contained herein and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to such subject matter. If any term or provision of this agreement is invalid, illegal, or unenforceable in any jurisdiction, such invalidity, illegality, or unenforceability will not affect any other term or provision of this agreement. The Company may assign this agreement and its rights hereunder, in whole or in part, to any party. All matters arising out of or relating to this agreement shall be governed by the laws of Province of New Brunswick and the federal laws of Canada applicable therein. I agree that I will not disclose any information about this agreement or the Materials without the Company's prior written consent. Signatures delivered by electronic transmission are deemed for all purposes to be original signatures to this agreement.}

I acknowledge and agree that I have no right to review or approve Materials before they are used by the Company, and that the Company has no liability to me for any editing, alteration, or use of the Materials, or the Company's presentation of me. Considering that the Materials constitute personal information within the meaning of Quebec privacy laws, I hereby authorize the Company to collect the personal information pertaining to Materials for the purposes outlined herein. I understand that my personal information is processed in compliance with the Company’s Privacy Policy (https://www.irvingoil.com/en-CA/discover-irving/privacy), which can give me more information on my rights of access and rectification and my right to withdraw consent, subject to my legal or contractual obligations. The Company hereby informs you that it may disclose your personal information to its service providers with regards to websites and transactions. Such personal information may be disclosed outside of the province of Québec.}

^{5. I represent and warrant to the Company that I am at least eighteen years of age, and I have full right, power, and authority to enter into this agreement and grant the rights hereunder. This agreement constitutes my sole and entire agreement with the Company regarding the subject matter contained herein and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to such subject matter. If any term or provision of this agreement is invalid, illegal, or unenforceable in any jurisdiction, such invalidity, illegality, or unenforceability will not affect any other term or provision of this agreement. ^{In exchange for good and valuable consideration, the receipt and sufficiency of which I hereby acknowledge as received, I give Irving Oil Limited, Irving Oil Terminals Inc., and their respective affiliated companies (collectively and individually the "Company") permission to use and publicize Minor Child’s name, image, likeness, appearance, voice and other personal characteristics and private information (“Materials”) for the purposes outlined herein, in accordance with the following terms and conditions:}

I hereby irrevocably permit, authorize, grant, and license the Company and its affiliates, successors, agents, and assigns, and their respective licensees ("Authorized Persons"), the rights to display, publicly perform, exhibit, transmit, broadcast, reproduce, record, photograph, digitize, modify, alter, edit, adapt, create derivative works, exploit, sell, rent, license, otherwise use, and permit others to use the Materials in perpetuity throughout the world in any medium or format whatsoever and for any purpose, without further consent from, or royalty, payment, or other compensation to, me or Minor Child.}

I hereby irrevocably transfer, assign, and otherwise convey to the Company my and Minor Child’s entire right, title, and interest, if any, in and to the Materials and all copyrights and other intellectual property rights in the Materials arising in any jurisdiction throughout the world in perpetuity. I acknowledge and agree that neither I nor Minor Child have any right to review or approve Materials before they are used by the Company, and that the Company has no liability to me or Minor Child for any editing, alteration, or use of the Materials, or the Company's presentation of Minor Child. Any credit or other acknowledgment of Minor Child shall be determined by the Company in its sole discretion.}

To the fullest extent permitted by applicable law, I hereby irrevocably waive all legal and equitable rights (of me and Minor Child) relating to all liabilities, claims, demands, actions, suits, damages, and expenses, now known or hereafter known in any jurisdiction throughout the world (collectively, "Claims") arising directly or indirectly from the Company's or the Authorized Persons' exercise of their rights under this agreement or the production, exhibition, advertising, promotion, or other use of the Materials, and forever release and discharge the Company and the Authorized Persons from liability under such Claims. I understand and agree that this agreement cannot be terminated, rescinded, or modified, in whole or in part.}

^{I UNDERSTAND THAT THIS AGREEMENT PROVIDES THE COMPANY WITH MY ABSOLUTE AND UNCONDITIONAL CONSENT, WAIVER, AND RELEASE OF LIABILITY, ALLOWING THE COMPANY TO PUBLICIZE AND COMMERCIALLY USE MINOR CHILD’S NAME, LIKENESS, AND OTHER PERSONAL CHARACTERISTICS AND PRIVATE INFORMATION AS SET OUT ABOVE. BY SIGNING, I ACKNOWLEDGE THAT I HAVE READ AND UNDERSTOOD ALL OF THE TERMS OF THIS AGREEMENT AND THAT I AM GIVING UP SUBSTANTIAL LEGAL RIGHTS (OF MY OWN AND OF MINOR CHILD), INCLUDING THE RIGHT TO SUE THE COMPANY, AND THAT I HAVE BEEN GIVEN THE OPPORTUNITY TO OBTAIN INDEPENDENT LEGAL ADVICE.}

^{I AM THE PARENT OR LEGAL GUARDIAN OF THE MINOR CHILD NAMED ABOVE. I HAVE THE LEGAL RIGHT TO SIGN THIS PUBLICITY AND PRIVACY WAIVER AND RELEASE AND I AGREE THAT BOTH THE MINOR AND I SHALL BE BOUND BY ALL OF ITS TERMS AND CONDITIONS.}

Par la présente, je permets, autorise, accorde et concède irrévocablement à la Société et à ses sociétés et entités affiliées, successeurs, agents et ayants droit, ainsi qu'à leurs licenciés respectifs (« Personnes Autorisées »), les droits d'afficher, d'exécuter publiquement, d'exposer, de transmettre, de diffuser, de reproduire, d'enregistrer, de photographier, de numériser, de modifier, d'éditer, d'adapter, de créer des oeuvres dérivées, d'exploiter, de vendre, de louer, de concéder sous licence, d’autrement utiliser et de permettre à d'autres d'utiliser le Matériel à perpétuité dans le monde entier, sur quelque support ou dans quelque format que ce soit, et pour des fins de publicité, de relations publiques, d'emballage et de promotion de la Société et de ses sociétés et entités affiliées, ainsi que de leurs activités, produits et services, sans autre consentement de ma part, ni redevance, ni paiement, ni autre forme de compensation en ma faveur.}

^{2. Par la présente, je transfère, cède et transmets irrévocablement à la Société l'ensemble de mes droits, titres et intérêts, le cas échéant, et relatifs au Matériel et tous les droits d'auteur et autres droits de propriété intellectuelle relatifs au Matériel, dans toute juridiction et dans le monde entier, à perpétuité. Je reconnais et accepte que je n'ai aucun droit d'examiner ou d'approuver le Matériel avant qu'il ne soit utilisé par la Société, et que la Société n'a aucune responsabilité envers moi en ce qui concerne l'édition, la modification ou l'utilisation du Matériel, ou la présentation de moi par la Société. Tout crédit ou autre reconnaissance à mon égard sera déterminé par la Société à sa seule discrétion.}

^{3. Dans toute la mesure permise par les lois applicables, je renonce irrévocablement à tous les droits légaux et équitables relatifs à toutes les responsabilités, réclamations, demandes, actions, poursuites, dommages et dépenses, présentement connues ou qui le seront dans le futur dans toute juridiction à travers le monde (collectivement les « Réclamations ») découlant directement ou indirectement de l'exercice par la Société ou les Personnes Autorisées de leurs droits en vertu de cette entente ou de la production, de l'exposition, de la publicité, de la promotion ou de toute autre utilisation du Matériel, et je libère et décharge pour toujours la Société et les Personnes Autorisées de toute responsabilité dans le cadre de telles Réclamations. Je comprends et j'accepte que cette entente ne puisse être résiliée, annulée ou modifiée, en tout ou en partie.}

Considérant que le Matériel constitue un renseignement personnel au sens des lois québécoises sur la protection des renseignements personnels, j'autorise par la présente la Société à recueillir les renseignements personnels relatifs au Matériel aux fins décrites dans les présentes. Je comprends que mes renseignements personnels sont traités conformément à la Politique de confidentialité de la Société (https://www.irvingoil.com/fr-CA/discover-irving/confidentialite), cette politique de confidentialité pouvant me fournir plus d'information sur mes droits d'accès et de rectification et sur mon droit de retirer mon consentement, sous réserve de mes obligations légales ou contractuelles. La Société vous informe par la présente qu'elle peut divulguer vos informations personnelles à ses prestataires de services en ce qui concerne des sites web et des transactions. Ces renseignements personnels peuvent être divulgués à l'extérieur de la province de Québec.}

Je déclare et garantis à la Société que j'ai au moins dix-huit ans et que j'ai tout le droit, le pouvoir et l'autorité nécessaires pour conclure la présente entente et pour accorder les droits contenus aux présentes. La présente entente constitue ma seule et entière entente avec la Société concernant les sujets contenus aux présentes et a préséance sur toutes les ententes, conventions, déclarations et garanties antérieures et contemporaines, tant écrits qu'oraux, concernant ces sujets. Si l'un des termes ou l'une des dispositions de la présente entente est invalide, illégal ou inopposable dans une quelconque juridiction, cette invalidité, illégalité ou inopposabilité n'affectera pas quelqu’autres termes ou dispositions de la présente entente. La Société peut céder la présente entente et ses droits en vertu des présentes, en tout ou en partie, à toute partie quelconque. Toutes les questions découlant de la présente entente ou s'y rapportant seront régies par les lois de la province de Québec et les lois fédérales du Canada qui s'y appliquent. Je m'engage à ne pas divulguer d'informations concernant la présente entente ou concernant le Matériel sans avoir préalablement obtenu le consentement écrit de la Société. Les signatures délivrées par transmission électronique sont considérées à toutes fins quelconques comme des signatures originales de la présente entente.}

^{CETTE ENTENTE FOURNIT À LA SOCIÉTÉ VOTRE CONSENTEMENT ABSOLU ET INCONDITIONNEL, VOTRE RENONCIATION ET VOTRE DÉCHARGE DE RESPONSABILITÉ, PERMETTANT À LA SOCIÉTÉ DE PUBLIER ET D'EXPLOITER COMMERCIALEMENT VOTRE NOM, VOTRE IMAGE ET D'AUTRES CARACTÉRISTIQUES PERSONNELLES ET INFORMATIONS PRIVÉES, AINSI QUE D'UTILISER ET DE COMMUNIQUER VOS INFORMATIONS PERSONNELLES DE LA MANIÈRE DÉCRITE CI-DESSUS. EN SIGNANT, VOUS RECONNAISSEZ AVOIR LU ET COMPRIS TOUTES LES DISPOSITIONS ET LES TERMES DE CETTE ENTENTE ET QUE VOUS RENONCEZ À DES DROITS LÉGAUX ET JURIDIQUES SUBSTANTIELS, Y COMPRIS LE DROIT DE POURSUIVRE LA SOCIÉTÉ, ET QUE VOUS AVEZ EU L’OPPORTUNITÉ D'OBTENIR UN AVIS JURIDIQUE INDÉPENDANT.}

^{RENONCIATION ET DÉCHARGE EN MATIÈRE DE PUBLICITÉ ET DE VIE PRIVÉE}

^{En échange d'une contrepartie valable, dont je reconnais par la présente la réception et la suffisance, je donne à Irving Oil Limited (« Société ») l'autorisation d'utiliser et de faire connaître mon nom, mon image, ma ressemblance, mon apparence, ma voix et d'autres caractéristiques personnelles et informations privées (individuellement et collectivement le « Matériel ») aux fins décrites dans le présent document, conformément aux termes et conditions suivants :}
